Warner Bros. Discovery has rejected the improved takeover bid from Paramount Skydance, choosing to proceed with the previously agreed deal with Netflix. The Warner Bros. board deemed the Paramount offer to be of lower value and higher risk, primarily due to the substantial debt it would require (over $50 billion). Paramount had offered $30 per share and a $40.4 billion funding guarantee from Larry Ellison, but Warner Bros. was concerned about the potential for the deal to fail. Furthermore, the Paramount proposal included operational restrictions that could impact the company during the transition period. Warner Bros. estimates that canceling the Netflix deal in favor of Paramount would cost $4.7 billion. The disagreement centers on the valuation of the cable networks, which Paramount values lower than analysts' estimates.
